Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StratScribe AI, a company incorporated under the laws of Ontario, Canada ("StratScribe," "we," "us," or "our"), governing your access to and use of the StratScribe platform and services available at stratscribe.com (the "Service").

Please read these Terms carefully before using the Service. By creating an account, starting a free trial, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

StratScribe is a software platform that converts natural-language trading strategy descriptions into executable code (Pine Script, Python, MQL4, MQL5, NinjaScript) and provides backtesting simulations, parameter optimization, and automated broker order execution via webhook.

StratScribe is a software tool only. We are not a broker-dealer, investment adviser, commodity trading adviser, futures commission merchant, or financial institution. We are not registered with any securities or derivatives regulatory authority in any jurisdiction. Nothing provided through the Service constitutes financial advice, investment recommendations, trading signals, or a solicitation to buy or sell any financial instrument. 2. Eligibility

To use the Service, you must:

(a) Be at least 18 years of age, or the age of majority in your jurisdiction if higher;

(b) Have the legal capacity to enter into a binding contract;

(c) Not be a person barred from receiving services under applicable law;

(d) Use the Service solely for lawful purposes in compliance with all applicable laws and regulations in your jurisdiction.

By creating an account, you represent and warrant that you meet all of the above requirements.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@stratscribe.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 One Account Per User

You may not create multiple accounts to circumvent plan limits, free trial restrictions, or account suspensions.

4. Subscriptions, Free Trials, and Billing

4.1 Free Trial

All plans include a 7-day free trial. A valid credit card is required to begin a trial. You will not be charged until the trial period ends.

4.2 Trial Cancellation

You may cancel your subscription at any time before the end of day 7 of your trial from your account settings to avoid being charged. You will receive an email reminder on day 5 of your trial. If you do not cancel before day 8, your credit card will be charged the applicable subscription fee.

4.3 Subscription Billing

Subscriptions are billed monthly in advance, beginning on the day your trial converts to a paid subscription. Subscriptions renew automatically on the same date each month unless cancelled.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until the end of the period for which you have paid.

4.5 Refunds

Except where required by applicable law, all subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused features, or periods during which you did not use the Service. If you believe you have been charged in error, contact hello@stratscribe.com within 30 days of the charge.

4.6 Price Changes

We may change subscription prices upon 30 days' written notice by email. Price changes take effect at the start of your next billing cycle following notice. If you do not agree to a price change, you may cancel before the new price takes effect.

4.7 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, duties, or levies imposed on subscription fees by any governmental authority in your jurisdiction.

5. The Working Code Commitment

StratScribe runs all generated code through an automated compile-and-fix loop before delivery. If code fails automated validation three consecutive times, our team will manually review and correct it within 24 hours at no charge.

Scope and limitation of this commitment: The working code commitment applies to syntax validity and basic logic compilation only. It does not warrant that generated code will produce profitable results, that backtest performance will be replicated in live trading, that the code is free of all logical errors, or that the code is suitable for your specific trading objectives. The commitment does not constitute a warranty of fitness for any particular purpose. See Section 11 (Disclaimer of Warranties) and our Risk Disclosure for full details.

6. Acceptable Use

6.1 Prohibited Conduct

You may not use the Service to:

(a) Market manipulation: Generate, deploy, or facilitate code intended to engage in any form of market manipulation, including but not limited to spoofing (placing orders with intent to cancel), layering, wash trading, front-running, quote stuffing, or any other practice prohibited under the Commodity Exchange Act (US), Securities Act (Canada), Market Abuse Regulation (EU), or equivalent legislation in any jurisdiction;

(b) Illegal trading activity: Conduct or facilitate any trading activity that violates applicable securities, derivatives, or commodities laws in any jurisdiction, including trading on material non-public information;

(c) Commercial redistribution: Resell, sublicense, white-label, or redistribute generated code as a standalone commercial product without our prior written consent;

(d) Reverse engineering: Attempt to reverse-engineer, decompile, extract, or reproduce our underlying AI system prompts, validation logic, or proprietary methodology;

(e) Circumvention: Attempt to bypass, disable, or circumvent any security feature, rate limit, plan restriction, or access control;

(f) Scraping: Systematically scrape, harvest, or extract data from the Service by automated means without our written permission;

(g) Harmful code: Use the Service to generate malicious code, malware, or automated systems intended to harm third parties or financial markets;

(h) Violation of third-party terms: Use generated code or broker integrations in a manner that violates the terms of service of any connected broker, exchange, prop firm, or trading platform;

(i) Prop firm rule violations: Knowingly use the Service to generate strategies that violate the explicit rules of any proprietary trading firm challenge or funded account program you are participating in. You are solely responsible for understanding and complying with all rules applicable to any prop firm account you connect to the Service.

6.2 Consequences of Violation

We reserve the right to suspend or terminate your account immediately, without notice or refund, if we determine in our sole discretion that you have violated this Section. We may also report suspected illegal activity to relevant regulatory authorities.

7. Broker Integrations and Automated Execution

7.1 Your Responsibility

When you connect a broker account and configure automated order execution, you are solely responsible for:

(a) Ensuring your broker account credentials are accurate and current;

(b) Configuring position sizing, risk parameters, and account settings correctly;

(c) Understanding all rules, restrictions, and requirements applicable to your broker account, including margin requirements, pattern day trader rules, and prop firm challenge rules;

(d) Monitoring automated strategies during live execution;

(e) Maintaining appropriate manual oversight and using kill switches as needed.

7.2 No Execution Guarantee

We do not guarantee that orders will be executed, filled, or filled at any particular price. System failures, API outages, connectivity issues, broker downtime, or latency may result in missed orders, duplicate orders, or delayed execution. We are not liable for any trading losses arising from execution failures.

7.3 Supported Brokers

Supported broker integrations are listed on our website and may change at any time. We make no representation that any supported broker is regulated, suitable, or legal in your jurisdiction.

8. Intellectual Property

8.1 Your Generated Code

Code generated by the Service based on your strategy descriptions belongs to you. We do not claim ownership over generated strategies or code. You grant us a limited, non-exclusive licence to process and store your strategy descriptions and generated code solely for the purpose of providing the Service to you.

8.2 Our Intellectual Property

All other aspects of the Service — including our software, platform, user interface, branding, documentation, validation logic, and underlying AI prompting methodology — are owned by or licensed to StratScribe and are protected by copyright, trade secret, and other applicable intellectual property laws. You may not copy, reproduce, modify, or create derivative works of any part of the Service without our prior written consent.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

9. Third-Party Services

The Service integrates with third-party platforms including Anthropic, Supabase, Stripe, Resend, and various broker APIs. Your use of these integrations is subject to the respective third parties' terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.

10. Account Termination

10.1 Termination by You

You may close your account at any time from your account settings or by emailing hello@stratscribe.com. Closing your account cancels your subscription effective at the end of the current billing period.

10.2 Termination by Us

We may suspend or terminate your account at any time:

(a) Immediately and without notice for violation of Section 6 (Acceptable Use) or any conduct we determine poses a risk to the Service or other users;

(b) With 30 days' notice if we discontinue the Service or a material feature you rely on;

(c) Immediately if your payment method fails and is not updated within 7 days of notice.

10.3 Effect of Termination

Upon termination, your access to the Service will cease. Your generated strategies will be available in read-only mode for 90 days following termination, after which they will be permanently deleted. We are not liable for deletion of your data following termination.

11. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, StratScribe expressly disclaims all warranties, including but not limited to:

(a) Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

(b) Warranties that the service will be uninterrupted, error-free, or secure;

(c) Warranties that generated code is free of all errors or that it will perform as described in live trading;

(d) Warranties that backtest results are accurate, complete, or indicative of future performance;

(e) Warranties as to the accuracy, reliability, or completeness of any information provided through the service.

Nothing in these Terms limits any statutory rights you may have under applicable consumer protection legislation that cannot be waived by contract.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, in no event shall StratScribe, its directors, officers, employees, agents, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the service, even if advised of the possibility of such damages.

12.2 Cap on Liability

To the maximum extent permitted by applicable law, StratScribe's total cumulative liability to you for all claims arising out of or related to these terms or the service shall not exceed the total amounts paid by you to StratScribe in the twelve (12) months immediately preceding the event giving rise to the claim.

12.3 Essential Basis

The limitations of liability in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and StratScribe. StratScribe would not provide the Service at the stated price without these limitations.

13. Indemnification

You agree to defend, indemnify, and hold harmless StratScribe and its directors, officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

(a) Your use of the Service;

(b) Your violation of these Terms;

(c) Your violation of any applicable law or regulation, including any trading or financial regulation;

(d) Any trading losses or claims by third parties arising from your use of generated code or automated execution features;

(e) Your violation of the terms of service of any broker, exchange, or prop firm connected to the Service.

14. Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at hello@stratscribe.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your written notice.

14.3 Binding Arbitration

If the dispute cannot be resolved informally, you and StratScribe agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions of arbitrability — shall be resolved exclusively by binding arbitration administered by the ADR Institute of Canada under its National Arbitration Rules, except as set out in Section 14.4 below.

14.4 Small Claims and Injunctive Relief

Notwithstanding Section 14.3, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim qualifies. Either party may also seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitrate other claims.

14.5 Class Action Waiver

You and StratScribe agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If a court of competent jurisdiction finds the class action waiver unenforceable as to a particular claim, that claim shall be severed and proceed in court, with all remaining claims proceeding in arbitration.

14.6 Jurisdiction for Excluded Claims

For any claims excluded from arbitration under Section 14.4, you consent to the exclusive jurisdiction of the courts of the Province of Ontario.

15. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, third-party API outages (including broker API failures), or labour disputes.

16. Modifications to the Service and Terms

16.1 Service Changes

We may modify, suspend, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service where practicable.

16.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must cancel your account before the effective date.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, Risk Disclosure, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and StratScribe regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

17.5 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies on any third party.

17.6 Language

The parties confirm their wish that these Terms and all related documents be drafted in English. Les parties confirment leur volonté que les présentes conditions et tous les documents connexes soient rédigés en anglais.
